Associate General Counsel

SummitET is looking to hire a part-time licensed attorney to work remotely and assist the General Counsel in carrying out the General Counsel's roles and responsibilities. The Associate General Counsel's time will be primarily focused on contract-related matters, including the drafting, editing, reviewing, analyzing and commenting on various types of agreements, as well as contract management; compliance, including regarding the laws, regulations, and contractual requirements that apply to the Company's operations and services; internal investigations; and conducting training. Although the week-to-week hours may vary as directed by the General Counsel, SummitET anticipates that the hourly work for the Associate General Counsel will generally be capped at 80 hours/month.


Required Knowledge, Skills, and Abilities

  • Demonstrated knowledge of the law applicable to the Company's operations in three or more of the following areas: contracts, including those involving software and/or Software as a Service (SaaS), employment-related matters, compliance, internal investigations, government regulations, such as the Federal Acquisition Regulations; and the relationship between parent companies and subsidiaries.
  • Demonstrated ability to conduct investigations, interview witnesses, and review documentary evidence.
  • Demonstrated ability to recognize, understand, and minimize legal, regulatory, and/or contractual risk.
  • Demonstrated ability to convey complex legal information in an easily understood way to others whose knowledge base of the subject in question may be limited.
  • Demonstrated ability to ensure that oral and written opinions are persuasive and can withstand scrutiny.
  • Demonstrated ability to translate legal knowledge into business solutions.
  • Demonstrated ability to work remotely, both independently and as part of a team.
  • Excellent people skills and external awareness, flexibility, and resilience.
  • Excellent verbal and written communication skills, as well as legal research and advocacy skills.
  • Excellent critical thinking, problem-solving, conflict management, and team-building skills.
  • Proficient computer skills, including Microsoft Word, PowerPoint, Excel, Sharepoint, and Teams, and the ability to learn other systems and software as required

Required Experience

  • 10+ years of accumulated legal practice experience in a law firm, solo practice or as in-house counsel, and/or in a federal, state, or local government agency.
  • 5+ years of experience handling legal issues relating to contracts, compliance, internal investigations, and/or employment matters.

Education and Bar Membership

  • J.D. degree or equivalent from a law school accredited by the American Bar Association.
  • Active member in good standing of the bar of a state or territory of the United States, the District of Columbia, or the Commonwealth of Puerto Rico, which permits the practice of law in the United States.

Other Requirements

  • Ability to sit or stand at a desk for extended periods of time, including extensive use of computer equipment, including keyboard, mouse, and monitors.
  • Ability to occasionally travel throughout the United States when required.
  • Ability to pass a pre-employment background check and drug test.
  • Ability to obtain and maintain a U.S. government agency security clearance or facilities clearance when required.
  • U.S. citizenship.
  • Valid U.S. passport and driver's license.

Salary and Benefits

  • $70 - $90/hour commensurate with experience
  • 401k with employer-matching
